1. Marketplace ownership and role. Nioja Marketplace is owned by Lumaarc Company Ltd. Nioja provides a marketplace through which independent sellers can display and sell products to buyers. Unless separately agreed in writing, sellers operate their own businesses and remain responsible for the products and information they publish.
2. Accurate seller information. You must provide accurate business name, contact details, physical shop address, city and other requested information. Keep your details current and promptly update Nioja when they change. You are responsible for protecting your login credentials and all activity carried out through your account.
3. Product listings and stock. You must ensure that each listing accurately describes the product, including its price, size, dimensions, materials, colour, finishing, quantity, condition, variations, availability and any customization requirements. Use images that fairly represent the product. Do not list counterfeit, stolen, prohibited, unlawful, unsafe or misleading products, or products you are not authorised to sell.
4. Prices and order acceptance. You are responsible for maintaining correct prices, stock information and product specifications. Review orders promptly and fulfil accepted orders according to the details confirmed by the buyer. Do not substitute products, change specifications or impose undisclosed charges without the buyer's agreement and the applicable Nioja process.
5. Fulfilment and delivery. Sellers are responsible for preparing, packaging and arranging delivery of their products unless Nioja has expressly initiated a supported Jumia Logistics service or another delivery arrangement has been accepted for the order. Jumia Logistics is available only for eligible destinations and shipments. If a seller uses an optional POS-agent delivery service, the service, delivery charge and responsibility for handover must be recorded and agreed before dispatch. Keep dispatch and tracking evidence where available, and communicate delays promptly.
6. Double Trust and payments. Follow the payment method assigned or made available for each order. For orders processed through Nioja's Double Trust POS arrangement, the registered POS agent receives and holds the buyer's payment under the applicable agent terms, remits the required 10% of the order amount to Nioja, and retains the balance until the agreed release conditions are met. Sellers must not ask buyers to bypass the assigned process or misrepresent payment status. The agent's 10% remittance and the buyer-facing POS service fee are separate from the seller's product price and any seller commission or settlement deductions shown for the order.
7. Seller settlement and platform charges. Seller proceeds, marketplace commission, payment-processing charges, delivery charges, refunds and other applicable adjustments are determined by the order's displayed terms and the current Nioja seller/payment rules. Where a payment method requires delivery or buyer confirmation before settlement, your payout may remain on hold until the required milestone is verified. Keep your bank and payout details accurate. Nioja may request verification before enabling payouts.
8. Inspection, returns and refunds. Buyers may report non-delivery, damage, missing items, defects or products materially different from the confirmed specifications. You must cooperate promptly with investigations and provide relevant order, dispatch and product evidence. Eligible returns, replacements and refunds are handled under Nioja's published Return & Refund Policy, the order terms and applicable law. Custom-made or personalised products may have different change-of-mind eligibility, but this does not remove remedies for defects, seller error, non-delivery or material mismatch. Do not mark a dispute or refund as resolved until the required action is completed and recorded.
9. Buyer communication and conduct. Communicate respectfully, answer reasonable order enquiries, disclose relevant product and delivery information, and avoid harassment, discriminatory conduct, fake reviews, false claims, manipulation of orders or attempts to move Nioja-originated transactions off-platform to evade applicable rules or fees.
10. Customer data and privacy. Use buyer information only to process, fulfil, deliver and support the relevant order or for another lawful purpose authorised by the buyer. Protect addresses, telephone numbers, payment details and order information. Do not sell, publish, misuse or disclose customer information without a lawful basis.
11. Seller account and marketplace controls. Nioja may review listings, request verification, correct categorisation, remove content or restrict an account where there is a credible concern about fraud, safety, inaccurate listings, non-fulfilment, payment abuse or breach of these terms. Where appropriate, Nioja may hold an unsettled payout while a related order, refund or dispute is reviewed, subject to the applicable agreement and law.
12. Seller responsibility and compliance. You remain responsible for the legality, safety, quality, packaging, warranties and fulfilment of the products you sell, as well as your business registrations, taxes and other obligations that apply to your business. Nioja's marketplace tools do not remove those responsibilities.
13. Changes and termination. Nioja may update these terms to reflect marketplace operations, payment arrangements, logistics services or legal requirements. The applicable version will be published or communicated through Nioja. You may stop selling through the marketplace by following the account-closure process, subject to completing outstanding orders, disputes, refunds and financial obligations.
14. Governing requirements and contact. These terms operate alongside Nioja's published marketplace policies and applicable Nigerian law. If a term conflicts with a mandatory legal right, that right continues to apply. For an order issue, contact Nioja support and provide the relevant order reference.
